Legal
Terms of Use
These Terms govern use of SoundCues, provided by Spotlight Entertainment LA Events, a California corporation. By using the app, the user agrees to these Terms and Apple’s applicable usage rules.
Eligibility and authority
The user must be legally capable of agreeing to these Terms. A user who has not reached the age of legal majority where the user lives may use the app only with a parent or legal guardian’s permission and supervision. A person using the app for a business, venue, school, or other organization represents that the person has authority to bind that organization; “user” then includes that organization. The app is not directed to children under 13.
License and acceptable use
Spotlight Entertainment LA Events grants the user a limited, personal, nonexclusive, nontransferable license to use SoundCues on Apple-branded products the user owns or controls, as permitted by Apple’s Usage Rules. The app is licensed, not sold. Family Sharing is not currently offered. The user may not misuse the app, interfere with its operation, bypass purchase controls, redistribute the app, or reverse engineer it except where applicable law does not permit that restriction.
The user is responsible for access to the user’s devices and Apple Account, for protecting device passcodes and account credentials, and for activity performed through those devices or accounts. The user must promptly protect the account or device if unauthorized access is suspected.
User media and rights
SoundCues is a playback, editing, organization, recording, export, transfer, and optional synchronization tool. It is not a media-rights service or a guaranteed backup service. Spotlight Entertainment LA Events does not supply, own, license, clear, insure, verify, or grant rights to media that a user imports, records, references, performs, broadcasts, copies, exports, synchronizes, or shares.
The user retains any rights the user already holds in user-created content. The user represents that the user has all rights and permissions required for the user’s intended use and is solely responsible for copyright, master-use, synchronization, performance, broadcast, trademark, privacy, publicity, contractual, venue, and other permissions. The user must not use SoundCues to infringe rights, evade access controls, facilitate unlawful file sharing, or violate a source website or service’s terms.
The user authorizes the app and the user-selected Apple services to copy, process, convert, store, and transmit user media and Show information only as needed to provide the features the user chooses. This authorization does not transfer ownership to Spotlight Entertainment LA Events.
Website shortcuts are user-created browser links only. They are not endorsements, integrations, licensed catalogs, or authorization to download. The public app does not inspect, capture, convert, or download media from websites.
Shows, exports, and sharing
A SoundCues Show may contain copies of audio and user-entered information. Before exporting or sharing a Show, the user must confirm that the user has permission to copy and redistribute every included item and is not disclosing confidential or personal information. Recipients receive no media rights from Spotlight Entertainment LA Events. Users should use reference-only workflows or remove media when redistribution is not permitted.
iCloud synchronization and data safety
iCloud synchronization starts off on a new installation. The first time the user switches Sync on, the app presents a disclosure before enabling it. By selecting Turn On Sync, the user directs the app to use private iCloud synchronization and acknowledges these Terms and the Privacy Policy. Declining leaves Sync off and keeps the app available for local use. The accepted disclosure version remains recorded if Sync is later turned off, so the same prompt does not appear on a later re-enable. The app may require a new acknowledgment before Sync resumes if these Terms, the Privacy Policy, or Sync behavior materially change.
When Sync is enabled, the app may automatically upload, download, copy, update, merge, or delete Show information and eligible managed media in the user’s private iCloud database. Changes, deletions, and conflict choices may propagate to other devices signed in to the same Apple Account. Offline edits may be queued, and concurrent edits may require the user to choose which version to keep. Turning Sync off stops future synchronization on that device but does not itself delete local content, previously synchronized private-iCloud records, or copies already downloaded by another device.
Synchronization, export, transfer, and recovery features are convenience tools and are not substitutes for an independent backup. Uploads, downloads, conflict resolution, merges, deletions, device failure, storage limits, network interruption, software errors, incompatible versions, or third-party service changes may cause media or Show data to become delayed, unavailable, incomplete, duplicated, corrupted, or lost. A successful sync status means the app completed the reported operation; it does not guarantee permanent preservation or confirm that every other device has downloaded and tested every file.
Users are responsible for keeping original media, maintaining a separate current export or backup in a location they control, checking available device and iCloud storage, and verifying that required media opens and plays on the intended device before an event. Removing the app from a device does not necessarily delete synced iCloud data, and deleting synced data may affect other devices. Users should review the confirmation shown before any deletion or conflict decision.
Synchronization depends on Apple services, the user’s Apple Account, compatible software, network access, and available iCloud storage. Spotlight Entertainment LA Events does not control and cannot guarantee the availability, retention, security, or performance of Apple or another third-party service. Those services are governed by their own terms and privacy policies.
Purchases and free limits
The free version is limited to one Show, two boards, and 20 sound pads total within that Show. SoundCues Pro may be offered in the same app as monthly and annual auto-renewing subscriptions and as a non-consumable one-time purchase. Pro unlocks the features described on the purchase screen on compatible iPhone, iPad, and Mac devices used with the purchasing Apple Account.
The purchase screen and App Store show the applicable local price and terms before purchase. Subscriptions are charged through the user’s Apple Account and renew automatically unless canceled. Users can manage or cancel subscriptions through their Apple Account settings. Apple processes purchases, renewals, cancellations, Family Sharing if offered, and refunds under Apple’s rules. No free trial is promised for version 1.0.
The one-time purchase includes current Pro features and future improvements included with SoundCues Pro. Optional future products, content packs, or third-party services may be sold separately. App updates, bug fixes, compatibility updates, and reliability improvements remain available without requiring a new app purchase, subject to compatible hardware and operating-system requirements. A price, discount, feature, or purchase option is offered only while it is actually available through the App Store.
Apple relationship
These Terms are between the user and Spotlight Entertainment LA Events, not Apple. Spotlight Entertainment LA Events, not Apple, is responsible for the app and its content, maintenance and support, and addressing claims relating to the app, including product-liability, legal-compliance, consumer-protection, privacy, and intellectual-property claims. Apple has no obligation to provide maintenance or support.
If the app fails to conform to an applicable warranty that has not been effectively disclaimed, the user may notify Apple, and Apple may refund the purchase price paid for the app as provided by Apple’s rules. To the maximum extent permitted by law, Apple has no other warranty obligation concerning the app.
The user must comply with applicable third-party terms when using the app, including Apple Media Services, iCloud, wireless-data, source-service, and media-license terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against the user. The user represents that the user is not located in a country or region subject to a United States government embargo or designated as supporting terrorism and is not on a United States government prohibited- or restricted-party list.
Unless Spotlight Entertainment LA Events submits these Terms to Apple as a custom end-user license agreement, Apple’s standard end-user license agreement also applies and these Terms supplement it. If the two conflict, mandatory law and Apple’s applicable distribution terms control to the extent required.
Live-performance responsibility
Users must verify audio, routing, device power, storage, synchronization status, backups, permissions, and venue requirements before a live event. Software, hardware, networks, storage, and third-party services can fail. Users should maintain an independent backup playback plan. SoundCues is not an emergency, safety, or life-critical system.
External services, updates, and pre-release software
Links, Files providers, websites, devices, networks, audio hardware, and Apple services are operated by others. Spotlight Entertainment LA Events does not control or endorse them and is not responsible for their content, terms, security, availability, or acts. Features may change, be suspended, or be discontinued for security, legal, technical, or business reasons, subject to applicable law. The user is responsible for installing compatible app and operating-system updates and for exporting important Shows before an update or migration.
TestFlight, beta, internal, and other pre-release builds may be incomplete, unstable, time-limited, and subject to change. They are for evaluation, should not be the sole system used for a live event, and may require migration or deletion before a public release.
Availability and warranty disclaimer
To the maximum extent allowed by law, SoundCues is provided “as is” and “as available,” without warranties of uninterrupted operation, availability, compatibility, data preservation, fitness for a particular purpose, noninfringement, or error-free performance. Some jurisdictions do not allow certain exclusions, so they may not apply to a particular user.
Limitation of liability
To the maximum extent allowed by law, Spotlight Entertainment LA Events will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages; loss, corruption, alteration, disclosure, duplication, or unavailability of media or Show data; missed cues; event interruption; replacement services; third-party claims; or unauthorized use of content arising from the app or a connected service, even if advised that such harm was possible. To the maximum extent allowed by law, aggregate liability for claims arising from the app will not exceed the greater of fifty United States dollars or the amount the user paid for SoundCues during the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, gross negligence, willful misconduct, willful injury, violation of law, death or personal injury where such liability cannot be limited, or other nonwaivable rights or remedies.
Responsibility for claims
To the extent permitted by law, the user agrees to defend, indemnify, and hold harmless Spotlight Entertainment LA Events and its officers, employees, and contractors from third-party claims, damages, and reasonable costs arising from the user’s media, the user’s violation of another person’s rights, the user’s unlawful use of the app, or the user’s material breach of these Terms. Spotlight Entertainment LA Events will provide reasonable notice of a covered claim and may control its defense and settlement; the user will reasonably cooperate. No settlement may impose an admission or nonmonetary obligation on the user without the user’s consent. This section does not require a consumer to waive a nonwaivable legal right.
Termination
The license ends if the user materially violates these Terms. Termination does not transfer or erase third-party rights in media and may not automatically remove exported or synced copies. Sections concerning content rights, data safety, disclaimers, liability, responsibility for claims, and disputes survive termination.
California law
These Terms are governed by California law, without regard to conflict-of-law rules. Courts located in Los Angeles County, California will have exclusive jurisdiction where legally permitted. Consumers retain any nonwaivable rights available where they live.
General terms
Neither party is responsible for delay or failure caused by events beyond its reasonable control, except for payment obligations and responsibilities that cannot lawfully be excused. If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. Headings are for convenience only. The user may not assign these Terms except where applicable law provides otherwise; Spotlight Entertainment LA Events may assign them in connection with a merger, acquisition, reorganization, or sale of the app or substantially all related assets, subject to applicable privacy law. These Terms, the Privacy Policy, the Content Rights Policy, and Apple’s applicable terms form the agreement governing the app, subject to any nonwaivable consumer rights.
